Definitions

Capitalised terms used but not defined in this Birdeye Peak Terms have the meanings given to them in the Terms of Use, including “Birdeye Peak Dashboard”, “Assistant” and “Research”. “AI Output” means any content, answer, summary, classification, translation, extraction, estimate, forecast, score, table, chart, code, plan, proposed action or other output generated by the Assistant or by any other machine-learning feature of Birdeye Peak. “Agent” means any AI model, software agent or autonomous or semi-autonomous system (other than the Assistant), including any agent that operates a web browser or user interface on your behalf, which accesses, operates or retrieves data from Birdeye Peak and determines, with limited or no human direction, which requests to make or actions to take, whether operated by you or on your behalf. “API Terms” means the Birdeye Data API Product Terms, as amended, supplemented or replaced from time to time. “Birdeye Peak” means the integrated Birdeye Peak Dashboard, including the Assistant, together with the Birdeye Data, Research and other features and functionality made available through it, wherever they are made available on the Platform. “Derived Information” means information that you generate from Birdeye Data which is materially transformed, such that the underlying Birdeye Data cannot reasonably be reconstructed or inferred from it. Information that merely aggregates, converts, rounds, filters or sorts Birdeye Data is Reformatted Information. “Digital Assets” means cryptocurrencies, tokens, stablecoins and other digital representations of value recorded on a blockchain or distributed ledger. “Executed Agreement” means a written agreement relating to Birdeye Peak signed by you and Birdeye. “Limited Amount” means an amount of Birdeye Data which: (i) is incidental to, and materially less significant than, your own analysis, commentary or other work product in the document or report in which it appears; (ii) is not a substantial or systematic extraction of any dataset, index, list, time series or other collection of Birdeye Data, whether assessed alone or together with any other extraction by you or your organisation; and (iii) could not reasonably serve as a substitute for access to Birdeye Peak or the Birdeye Data APIs; “Primary Business” means the principal business of your organisation, excluding any business of supplying data, analytics, research, indices or information services to third parties. “Reformatted Information” means Birdeye Data whose presentation, layout, ordering, labelling or format has been changed but whose substance has not. Reformatted Information counts in full towards the Limited Amount. “Third-Party Data” means Birdeye Data which Birdeye licenses from, or which originates with, a Third Party Provider.

Grant of License

Pursuant to the provisions of this Birdeye Peak Terms and subject to your payment of any applicable fees, Birdeye hereby grants to you a limited, non-exclusive, non-assignable, non-transferable, non-sublicensable and revocable license to access and use Birdeye Peak, and the Birdeye Data and AI Output made available through it, for your own personal or internal use, and as otherwise permitted by the Section entitled “Downloads and Dissemination”. To that extent, this Section applies notwithstanding Section 2B(ii) (Grant of License), Section 4A(i) (Unauthorized Derivative Works) and Section 4A(iii) (Prohibited Commercial Uses) of the Terms of Use. Save as so modified, the license granted to you is subject to this Birdeye Peak Terms and to Section 4 (Restrictions on Use of Platform and Features) of the Terms of Use.

Birdeye Peak Dashboard

  1. Availability on the Platform. Any features or functionality made available on the Birdeye Peak Dashboard may also be made available through other areas of the Platform (including the App and the Services), in our sole discretion, and this Birdeye Peak Terms applies to them wherever they are made available.
  2. Access and Entitlements. Access to Birdeye Peak, and the features available to you, may depend on your subscription or entitlement, as described at Billing & Plans. Section 5 (Payment, Gas Fees and Taxes) of the Terms of Use applies to any fees payable for Birdeye Peak.

Downloads and Dissemination

  1. Permitted Use. Notwithstanding Section 4A(i) (Unauthorized Derivative Works) and Section 4A(ii) (Redistribute) of the Terms of Use, and provided that you retain all copyright and other proprietary notices contained in any Birdeye Data and comply with this Section, you may, in the ordinary course of your business:
    1. download, print and store a Limited Amount of Birdeye Data from Birdeye Peak; and
    2. include a Limited Amount of Birdeye Data, Reformatted Information and Derived Information in documents and reports that you publish or distribute, in print or electronic form, in support of your Primary Business.
  2. Attribution. Any Birdeye Data, Reformatted Information or Derived Information appearing in a document or report must be attributed to Birdeye, together with the date as at which the data was obtained. You must not remove, obscure or alter any attribution, notice or disclaimer displayed with Birdeye Data, including any displayed with Third-Party Data.
  3. Disclaimer. Each document or report containing Birdeye Data, Reformatted Information or Derived Information must state, in substance, that the data was sourced from Birdeye; that Birdeye has not reviewed or approved the document or report; that Birdeye gives no warranty as to the accuracy, completeness or timeliness of the data; that the data is not investment, financial or other advice; and that Birdeye accepts no liability for any use of or reliance on the document, the report or the data.
  4. Restrictions. Nothing in this Section permits you to: (a) distribute Birdeye Data in any machine-readable, bulk or feed form, or in any other form from which it can be extracted as data; (b) publish Birdeye Data on a recurring, scheduled or systematic basis; (c) include Birdeye Data in any prospectus or other offering document for any financial instrument or investment product without our prior written consent; or (d) publish or distribute AI Output, the use of which is governed by the Section entitled “Birdeye Peak Assistant”. Save as expressly permitted by this Section, Section 4A(i), Section 4A(ii) and Section 4A(iii) of the Terms of Use continue to apply, and any other recirculation, redistribution or publication of Birdeye Data requires our prior written consent.
  5. Withdrawal. We may restrict or withdraw the permission in this Section on notice, and may require you to correct, or cease distributing, any document or report which does not comply with this Section.

Birdeye Peak Assistant

  1. Access to Birdeye Data. The Assistant has access to Birdeye Data in order to respond to your Prompts. That access does not extend your license or entitlements: you may use Birdeye Data obtained through the Assistant only as you may use Birdeye Data displayed on the Birdeye Peak Dashboard, and the Section entitled “Downloads and Dissemination” applies to it.
  2. AI Output. AI Output is generated automatically and probabilistically. It may be inaccurate, incomplete, out of date, internally inconsistent, or may contain fabricated statements, figures, sources, citations, contract addresses or ticker symbols. AI Output is not reviewed by a human before delivery unless expressly stated. Fluency, specificity, apparent reasoning, expressions of confidence and the citation of sources are not indicators of accuracy.
  3. No Advice. Even where AI Output is phrased as an opinion, suggestion, recommendation, prediction, ranking, comparison, or as a direct answer to a request for advice, it is information only. It is not investment, financial, trading, legal, tax, accounting, regulatory or other advice, is not a personal recommendation, is not personalised, and creates no advisory or fiduciary relationship. The disclaimers in Section 2D(iv) (No Reliance on Information) and Section 9A(i) of the Terms of Use apply in full to all AI Output. The Assistant does not know your objectives, circumstances, constraints, holdings or regulatory status except to the extent you state them, does not verify what you state, and performs no suitability or appropriateness assessment.
  4. AI Output Is Not a Statement by Birdeye. AI Output is machine-generated and is not a statement, representation, warranty, assurance, commitment, advice or opinion of Birdeye, its affiliates, its licensors or its personnel. No AI Output can vary this Birdeye Peak Terms or the Terms of Use, grant any license, entitlement or permission, create any warranty or obligation, waive any right, or otherwise bind Birdeye, and you may not rely on AI Output as evidence of any of those things. Where AI Output conflicts with this Birdeye Peak Terms, the Terms of Use or the data displayed elsewhere in the Services, this Birdeye Peak Terms, the Terms of Use or that data (as applicable) prevail.
  5. Underlying Limitations Flow Through. Where AI Output draws on, restates, summarises, aggregates or reasons over any part of the Services or any Birdeye Data, every limitation, qualification and disclaimer applicable to that underlying part applies equally to the AI Output, and the conversational, summarised or simplified form in which AI Output is delivered neither cures, reduces nor qualifies them. Such limitations, qualifications and disclaimers include, without limitation, the Sections entitled “News Feed”, “Protocol Analytics”, “Research”, “Indices” and “Wallet and Trader Analytics” of this Birdeye Peak Terms and Section 3C (Labels and Classifications) of the Terms of Use. The Assistant is not capable of establishing that a token, contract, protocol or address is safe, legitimate or non-fraudulent, and any AI Output to that effect must not be relied upon.
  6. Completeness. The Assistant may omit, truncate, sample, deprioritise or fail to retrieve relevant data. The absence of any matter from AI Output is not evidence that the matter does not exist, did not occur or is not material. AI Output is not a substitute for reviewing the Services, any product documentation or authoritative sources directly.
  7. Workflows and Actions. Where you instruct the Assistant to perform a workflow spanning multiple steps or multiple data objects, you acknowledge that:
    1. you authorise each resulting action and are responsible for it as if you had performed it yourself;
    2. the Assistant may misinterpret an instruction, exceed the scope you intended, act on an incorrect intermediate result, or take steps you did not anticipate;
    3. an error at any step may propagate through subsequent steps, and the final output may be confidently and plausibly wrong;
    4. you must review the output and the steps taken before relying on them or acting on them; and
    5. you must not instruct the Assistant to perform, and must not rely on it to perform, any irreversible, high-consequence or time-critical action without independent verification.
  8. Prohibited Uses. In addition to Section 4 (Restrictions on Use of Platform and Features) of the Terms of Use, you must not use the Assistant to:
    1. extract, infer, reconstruct or elicit any system prompt, instruction, guardrail, model weight, training data, index or scoring methodology or threshold, or the User Content, credentials or data of any other User;
    2. circumvent any entitlement, usage limit, rate limit, quota, paywall, geographic restriction or access control, or obtain any data (including Birdeye Data) which you are not entitled to access;
    3. systematically or in bulk extract, export, accumulate, reconstruct or create a persistent store of Birdeye Data;
    4. train, fine-tune, distil, evaluate, benchmark or ground any model, agent or dataset;
    5. make or implement any automated decision producing legal effects for, or otherwise significantly affecting, any individual; or
    6. jailbreak, adversarially prompt or otherwise attempt to induce output or behaviour that breaches this Birdeye Peak Terms, the Terms of Use or applicable law.
  9. Prompts. You are solely responsible for all prompts, instructions, inputs, files, context, specifications, parameters and other content or information you provide when using the Assistant (collectively, “Prompts”), and for all AI Output generated from your Prompts, and you bear all risks associated with them, including any resulting legal or third-party claims. You must ensure that your Prompts:
    1. comply with applicable laws and regulations;
    2. comply with this Birdeye Peak Terms and the Terms of Use;
    3. are not designed to, and do not, cause, enable or encourage the disruption, interference, misuse, manipulation, exploitation, circumvention, sabotage or abuse of the Assistant;
    4. are not designed to produce inaccurate, offensive, false, defective, malicious, illegal or otherwise objectionable AI Output; and
    5. are submitted only where you have the full legal right, authority and permission to do so.
  10. Quality of Prompts. Your Prompts may influence the AI Output generated by the Assistant. Misleading, inappropriate or harmful Prompts may result in AI Output of limited value, and may lead us to refuse a response or to suspend your access to the Assistant or the Services.
  11. Handling of Prompts. Prompts and conversation history are User Content under Section 6D of the Terms of Use. We, our model providers and subprocessors may process them to operate, secure, support, troubleshoot and improve the Services and to detect and prevent abuse. You must not submit private keys or seed phrases, credentials, material non-public or inside information, third-party confidential information, or the personal data of any other individual except where you have a lawful basis to do so.
  12. Third-Party Models. The Assistant may use third-party foundation models, inference providers and infrastructure. We may add, substitute, downgrade or discontinue any underlying model at any time without notice. Capability, latency, cost, availability and behaviour may change accordingly, and output may differ between models, between sessions, and between identical prompts.
  13. Output Rights. As between you and us, and subject to the rights of Third Party Providers, this Birdeye Peak Terms and Section 4 (Restrictions on Use of Platform and Features) of the Terms of Use, you may use AI Output generated in response to your Prompts for your own personal or internal use. We make no representation that AI Output is original, non-infringing, or capable of protection by intellectual property rights, and you acknowledge that identical or similar output may be generated for and used by others.

Agents and Automated Access

  1. Section 4A(xvi) (Scrape or extract at scale) of the Terms of Use applies to any Agent. Accordingly, you must not use any Agent to access, operate or extract data from Birdeye Peak (including the Birdeye Peak Dashboard and the Assistant). Programmatic access to Birdeye Data is available only through the Birdeye Data APIs, in accordance with the API Terms.
  2. All acts and omissions of an Agent operating under your User Account or credentials are your acts and omissions, whether or not you directed, anticipated or were aware of them.
  3. Where you provide Birdeye Data or AI Output to any third-party AI model or service, you do so at your own risk and are solely responsible for doing so, and Section 4A(xv) (Train models) of the Terms of Use applies.

News Feed

  1. Third-Party News Items. All news items, headlines, articles, research notes, summaries, excerpts, social posts and other editorial content sourced from Third Party Providers that appear in the news feed made available through Birdeye Peak (the “News Feed”) (“Third-Party News Items”) are provided for convenience and general information only, and are Third-Party Content for the purposes of the Terms of Use. We do not author, verify, endorse, adopt or assume responsibility for Third-Party News Items, and their inclusion is not an endorsement of their accuracy or completeness, or of any view, product, protocol or Digital Asset referred to in them.
  2. Curation. Curation, filtering, tagging, sentiment classification, relevance scoring, sorting and other designations or modes of presentation made available on the Platform reflect automated and editorial judgement. They are not assurances of importance, accuracy, materiality or completeness, and the absence of an item from the News Feed is not an indication that no relevant development has occurred.
  3. Regulatory and Legal Content. Content concerning laws, regulations, enforcement actions, litigation, tax treatment or regulatory developments is provided for general information, is not legal, regulatory or tax advice, may be incomplete or out of date, may not reflect the position in your jurisdiction, and must not be relied upon. You should obtain advice from qualified professional advisers admitted in the relevant jurisdiction before making any decision relating to such content.
  4. Latency and Market-Moving Information. The News Feed may be delayed, incomplete, out of sequence, duplicated or interrupted. You must not assume that you have received information contemporaneously with the market or with other Users. You must not use the Services in any manner that would constitute the unlawful use or disclosure of inside information or material non-public information.
  5. Reproduction of Third-Party News Items. Third-Party News Items may be protected by copyright and licensed to us on terms that restrict onward use. You may not reproduce, redistribute, republish or make derivative use of Third-Party News Items beyond the display provided in the Services, and any use must comply with the terms of the originating publisher.

Protocol Analytics

  1. Information relating to total value locked (“TVL”), revenue, fees, earnings, take rate, treasury, float, market capitalisation, fully diluted valuation, volume, active users and similar metrics are derived analytical estimates computed from on-chain observations, third-party source data and protocol-supplied information, in each case applying assumptions, definitional choices, price sources, address-attribution heuristics and inclusion and exclusion rules determined by Birdeye. Different providers apply different definitions and will produce different figures. Our figures are not audited or independently verified, are not prepared in accordance with any accounting standard, do not constitute financial statements, and must not be relied upon as such.
  2. Metrics may be materially distorted by, among other things: double-counting across composed or looped protocols; recursive or rehypothecated collateral; liquid staking and restaking derivatives; incentive-driven or mercenary liquidity; wash trading and volume inflation; airdrop farming and Sybil activity; self-referential token valuations where a protocol’s TVL is denominated in its own low-float token; unpriced, illiquid, mispriced or depegged assets; bridged or wrapped asset accounting; oracle staleness or failure; indexer lag; contract upgrades and proxy migrations; and undisclosed off-chain arrangements.
  3. Governance data (including proposals, votes, quorum, delegate activity, timelock status and multisig composition) is presented as observed and may be incomplete, delayed, superseded, off-chain, socially coordinated, or subject to undisclosed side agreements, vote buying, delegation opacity or emergency powers. Presentation of governance data is not an assessment of the adequacy, decentralisation, legitimacy or enforceability of any governance arrangement.

Research

  1. Research may be authored, compiled or published by the Company or its personnel in its own name, published under joint, co-branded or “in partnership with” attribution naming the Company and one or more third parties (including a project, protocol, exchange, issuer, research house or other counterparty) (“Collaborative Content”), or generated with the assistance of AI.
  2. Research (including Collaborative Content) may contain forecasts, projections, targets, outlooks and other forward-looking statements, which can be identified by the use of forward-looking terminology such as “may”, “will”, “should”, “expect”, “anticipate”, “upside”, “potential”, “project”, “estimate”, “intend”, “forecast”, “target” or “believe”, or comparable terminology. Forward-looking statements are inherently uncertain, are based on assumptions that may prove incorrect, and are not guarantees, predictions or assurances of any future outcome, and actual events, results or performance may differ materially from those reflected or contemplated in them. Past performance referenced in Research is not indicative of future results. The Company expressly disclaims any obligation to update any forward-looking statement, whether as a result of new information, future events or otherwise.
  3. Collaboration in producing Collaborative Content does not create any partnership, joint venture, agency or fiduciary relationship between the Company and the relevant collaborator, and neither is authorised to bind, or speak on behalf of, the other beyond the content of the piece itself.
  4. A collaborator, or its products, protocol, venue, chain or token, may itself be named, discussed, credited, ranked or analysed within Collaborative Content, and may have supplied data used in it. You should assume that a collaborator has an interest in how it and its products are presented.
  5. Reference in Research to any tokenised security, treasury, money market fund, equity, credit instrument or derivative is descriptive of market activity only and is not an indication that any such instrument is available, lawful, registered or suitable for any person.

Indices

To the extent that any indices, composites, sector aggregates, reference prices and benchmark-style analytics (“Birdeye Indices”) are made available through Birdeye Peak, Birdeye does not hold itself out as a benchmark administrator. Birdeye Indices are not provided, administered or contributed to as “benchmarks” within the meaning of any benchmark or index regulation applicable in any jurisdiction, and Birdeye makes no representation that Birdeye Indices comply with the IOSCO Principles for Financial Benchmarks or any regulatory benchmark standard. Birdeye is not authorised, registered or recognised as a benchmark administrator in any jurisdiction. You may not use, reference or incorporate any Birdeye Index as a benchmark, index, reference price or settlement reference for any financial instrument, derivative, structured product, fund or other contract, or to measure the performance of any fund or portfolio, without Birdeye’s prior written license.

Wallet and Trader Analytics

Features that identify, label, rank, score, profile or cluster blockchain addresses or the persons behind them (including, without limitation, “Smart Money” designations, profitable-trader boards, trader profiles, realised and unrealised profit-and-loss figures, win rates, holding periods, large-trade feeds, and bubble, cluster or relatedness maps) (together, “Wallet Analytics”) are automated inferences drawn from on-chain observations and heuristics. In respect of Wallet Analytics: (a) address attribution and clustering are probabilistic, may be incorrect, and may associate an address, entity or person with activity it did not conduct or with other addresses it does not control; (b) profit-and-loss, performance and win-rate figures are estimates computed using cost-basis, pricing, timing, fee, transfer, airdrop and cross-venue assumptions determined by us, exclude activity we cannot observe, are not audited or independently verified, and are not comparable to any regulated measure of investment performance; (c) a label, tag, ranking or inclusion in any list of addresses or traders is not an endorsement, certification, verification or assessment of skill, and is not a recommendation or an invitation to copy, mirror, follow or trade alongside any address or person; (d) the absence of an adverse label is not a positive finding, and the presence of any label is not an allegation of wrongdoing by any person; and (e) you must not use Wallet Analytics to harass, identify, dox, target, defame or unlawfully profile any person, or in any manner that breaches applicable data protection law. Past activity or profitability of any address is not indicative of future results, and nothing in Birdeye Peak is an assurance that copying, mirroring, following or trading alongside any address is possible, lawful or profitable in your circumstances.

Third-Party Data

Certain Birdeye Data made available through Birdeye Peak is Third-Party Data, which may be subject to additional terms, attribution requirements and restrictions notified to you in Birdeye Peak or otherwise (“Upstream Terms”), with which you must comply. You must not remove, obscure or alter any attribution, notice or disclaimer displayed with Third-Party Data. Birdeye may restrict, modify or withdraw any Third-Party Data at any time, including at the direction of a Third Party Provider, without liability to you. Each Third Party Provider is an intended third-party beneficiary of, and may enforce in its own right, the Sections entitled “Grant of License”, “Downloads and Dissemination”, “Third-Party Data”, “Disclaimers and Liability” and “Indemnity” in respect of Third-Party Data supplied by it, and each of Birdeye’s affiliates and licensors may enforce the Section entitled “Indemnity” in its own right. Save as set out in this Section, a person who is not a party to this Birdeye Peak Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of its terms.

Disclaimers and Liability

  1. Except as expressly provided in an Executed Agreement, Birdeye Peak, Birdeye Data, Research and AI Output are provided “as is” and “as available”, and Section 9 (Limited Warranty and Disclaimer) and Section 10 (Limitations of Liability) of the Terms of Use apply to them.
  2. Where you use Birdeye Peak, Birdeye Data or AI Output to inform, initiate or execute any transaction, you do so at your sole risk, and Birdeye has no liability for any such transaction or resulting loss.

Indemnity

In addition to Section 11 (Indemnity) of the Terms of Use, you shall defend, indemnify and hold harmless Birdeye, its affiliates, licensors and Third Party Providers from and against all claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your Prompts, or your use of or reliance on AI Output; (b) the acts or omissions of any Agent operating under your User Account or credentials; or (c) your breach of this Birdeye Peak Terms or any Upstream Terms.

Termination

  1. This Birdeye Peak Terms takes effect on the date that you agree to it or first access or use Birdeye Peak, whichever is the earliest, and will subsist until terminated by Birdeye or you pursuant to this Birdeye Peak Terms or the Terms of Use.
  2. You may terminate this Birdeye Peak Terms by ceasing to access and use Birdeye Peak.
  3. We may at any time vary, suspend or discontinue Birdeye Peak or any part of it, and may suspend or terminate your access to Birdeye Peak or this Birdeye Peak Terms, in whole or in part, without notice or reasons to you, including where you breach this Birdeye Peak Terms, the Terms of Use or any Upstream Terms, at the direction of a Third Party Provider, or where required by law. Section 14 (Term and Termination) of the Terms of Use also applies.
  4. Upon termination of this Birdeye Peak Terms, all rights and licenses granted to you under this Birdeye Peak Terms cease immediately, and you must cease all use of Birdeye Peak and delete all Birdeye Data downloaded from it, save for Birdeye Data already incorporated in documents or reports in accordance with the Section entitled “Downloads and Dissemination”.
  5. All provisions of this Birdeye Peak Terms that must by their nature survive termination in order to give effect to their intention shall survive termination, including the Sections entitled “Definitions”, “Downloads and Dissemination”, “Birdeye Peak Assistant”, “Agents and Automated Access”, “News Feed”, “Protocol Analytics”, “Research”, “Indices”, “Wallet and Trader Analytics”, “Third-Party Data”, “Disclaimers and Liability”, “Indemnity” and “Termination”.

  1. Each of this Birdeye Peak Terms, the Terms of Use, the Privacy Policy and the Acceptable Use Policy shall, so far as possible, be interpreted consistently with and so as to give full effect to the others, and nothing in this Birdeye Peak Terms shall be construed as limiting, excluding or waiving the application of any provision of the Terms of Use, the Privacy Policy or the Acceptable Use Policy, save to the extent of an express conflict, in which case this Birdeye Peak Terms shall prevail in relation to your access to and use of Birdeye Peak, unless you have entered into an Executed Agreement, in which case such Executed Agreement shall prevail to the extent of the conflict.
